“services” refers to the work we provide, including but not limited to design, branding, ux/ui design, product strategy, digital product design, website design, visual identity, campaign design, creative direction, innovation consulting, content support, product development, and related services.

“project” refers to any agreed work, assignment, collaboration, engagement, or service provided by jadyn design lab.

“deliverables” refers to the final files, designs, documents, prototypes, concepts, assets, strategies, or materials we provide as part of a project.

5. project proposals and agreements

before starting a project, we may provide a proposal, estimate, quote, or scope of work. this may include the project goals, deliverables, timeline, cost, payment structure, revision limits, responsibilities, and any assumptions made about the work.

a project is considered approved when you confirm acceptance in writing, make the required deposit, sign an agreement, or otherwise clearly instruct us to begin work.

we reserve the right to decline any project that does not align with our values, capacity, expertise, ethical standards, or business direction.

6. client responsibilities

to help us complete work effectively, you agree to provide accurate information, timely feedback, required materials, approvals, and access to relevant platforms or files when needed.

this may include:

brand assets;
written content;
images or videos;
business information;
website access;
technical requirements;
stakeholder feedback;
legal or compliance requirements;
project goals;
user or audience information.

you are responsible for ensuring that any materials you provide do not violate copyright, trademark, privacy, confidentiality, or other rights of any third party.

delays in providing feedback, approvals, content, or access may affect the project timeline. if a project is delayed for a significant period due to missing client input, we may pause the project and reschedule it based on our availability.

7. timelines and delivery

we do our best to meet agreed timelines. however, project timelines may be affected by changes in scope, delayed feedback, late payments, technical issues, third-party delays, or circumstances beyond our control.

any timeline shared before full project discovery or content delivery is an estimate unless clearly stated otherwise in writing.

we are not responsible for delays caused by:

late client feedback;
missing content or assets;
additional revision requests;
changes in project direction;
third-party service providers;
platform or software issues;
delayed approvals from stakeholders;
force majeure events or circumstances beyond our control.

8. payments and fees

fees for our services will be outlined in a proposal, invoice, agreement, or written communication.

unless otherwise stated, projects may require a deposit before work begins. remaining balances may be due at agreed milestones, before final file delivery, before website launch, or upon project completion.

all payments must be made by the due date stated on the invoice or agreement.

late payments may result in project delays, paused work, withheld deliverables, or additional late fees where applicable.

we reserve the right to withhold final files, access, publishing, transfer of ownership, or launch support until all outstanding payments have been received.

9. deposits

deposits are used to reserve time, begin planning, and start project work. unless otherwise agreed in writing, deposits are non-refundable once the project has started.

if a project is cancelled by the client after work has begun, the deposit may be used to cover time, research, planning, design, administration, and other work already completed.

10. additional work and scope changes

if you request work that is outside the original project scope, it may be considered additional work. this includes, but is not limited to:

new pages, screens, or features;
extra design concepts;
additional revisions beyond the agreed limit;
major changes in direction;
new brand assets;
extra meetings;
copywriting not originally included;
development or technical support not included in the original agreement;
urgent or rush work;
work caused by incomplete or incorrect client information.

additional work may require a new estimate, invoice, timeline, or written approval before we proceed.

11. revisions and feedback

projects may include a specific number of revisions depending on the agreed scope. revisions are intended to refine the agreed direction, not to restart the project or introduce a completely new concept.

feedback should be clear, consolidated, and provided within the agreed timeline.

if feedback is delayed, unclear, contradictory, or comes from multiple stakeholders without alignment, the project timeline may be affected.

additional revisions beyond the agreed amount may be billed separately.

12. cancellations

you may cancel a project by notifying us in writing. if you cancel after work has started, you may be responsible for paying for work completed up to the cancellation date, including research, strategy, design, meetings, project management, or any other agreed services.

we may also cancel or pause a project if:

payments are overdue;
required information is not provided;
communication becomes abusive, inappropriate, or unreasonable;
the project changes in a way that no longer aligns with the original agreement;
the client requests unethical, illegal, harmful, or misleading work;
continuing the project is no longer practical or possible.

if we cancel a project, we will provide a reasonable explanation and, where appropriate, hand over paid-for completed work.

13. refunds

because our work involves time, strategy, research, creative effort, and custom services, payments are generally non-refundable once work has begun.

refunds may only be considered where:

no work has started;
a duplicate payment was made by mistake;
we are unable to begin the project for reasons within our control;
a refund is required by applicable law.

refund decisions are made on a case-by-case basis.

14. ownership and intellectual property

unless otherwise agreed in writing, jadyn design lab retains ownership of all concepts, drafts, source files, working files, processes, methods, research structures, unused ideas, preliminary designs, and internal materials created during the project.

once full payment has been received, the client will receive ownership or usage rights to the final approved deliverables specifically created for the project, according to the agreed scope.

this does not include:

unused concepts;
rejected designs;
draft files;
internal strategy documents;
source files not included in the agreement;
tools, templates, systems, or methods used to create the work;
third-party assets, fonts, software, stock images, or plugins.

we may reuse general knowledge, skills, ideas, methods, frameworks, and experience gained from projects, as long as we do not disclose confidential client information.

15. portfolio and promotional use

unless otherwise agreed in writing, we reserve the right to display completed work, project summaries, screenshots, visuals, mockups, case studies, and descriptions of our work in our portfolio, website, social media, proposals, award submissions, presentations, and promotional materials.

if a project is confidential or cannot be publicly shared, the client must notify us in writing before the project begins or before public launch.

we will not knowingly disclose private, sensitive, or confidential information without permission.

16. third-party materials and tools

some projects may involve third-party tools, platforms, software, plugins, fonts, stock images, hosting providers, payment processors, analytics tools, no-code platforms, or other external services.

the client is responsible for any third-party costs unless otherwise stated. this may include:

domain names;
website hosting;
software subscriptions;
stock photography;
premium fonts;
plugins;
licenses;
printing costs;
advertising costs;
developer tools;
third-party integrations.

we are not responsible for changes, downtime, errors, pricing changes, policy changes, or service interruptions caused by third-party providers.

17. website design and development

where website design or development support is included, the scope will define what is being delivered. this may include design files, prototypes, website builds, no-code implementation, CMS setup, page design, or launch support.

unless otherwise agreed, website services do not include ongoing maintenance, hosting, domain registration, technical support, SEO guarantees, security monitoring, plugin updates, or content updates after launch.

we are not responsible for issues caused by third-party platforms, client edits, plugin conflicts, hosting problems, browser updates, or changes made after project handoff.

18. content and accuracy

you are responsible for reviewing and approving all content, copy, images, information, pricing, legal statements, policies, claims, and final materials before publication or use.

we may assist with content structure, editing, messaging, or copywriting, but the client remains responsible for ensuring the accuracy, legality, and completeness of all published content.

this is especially important for industries involving health, finance, legal, public safety, housing, nonprofit services, regulated services, or government-related information.

19. no guarantees of results

we aim to provide thoughtful, high-quality work that supports your goals. however, we do not guarantee specific business, financial, marketing, fundraising, search ranking, traffic, conversion, investment, grant, or audience results.

outcomes may depend on factors outside our control, including market conditions, audience behaviour, client execution, budget, timing, product quality, advertising, platform algorithms, competition, and ongoing maintenance.

20. accessibility

we value accessible, inclusive, and human-centered design. where applicable, we may consider accessibility best practices in our design decisions, including clarity, usability, contrast, hierarchy, navigation, and content structure.

however, unless a specific accessibility audit, compliance review, or testing service is included in the project scope, we do not guarantee full compliance with any accessibility standard, law, or regulation.

clients are responsible for obtaining any required legal, technical, or compliance review for their specific industry or use case.

21. confidentiality

both parties may share confidential information during a project. confidential information may include business plans, strategies, client data, passwords, financial details, unpublished ideas, product concepts, internal documents, or private communications.

we agree to take reasonable steps to protect confidential information and not disclose it without permission, except where required by law or necessary to complete the project.

clients also agree not to disclose our private methods, proposals, pricing structures, internal documents, or unreleased ideas without permission.

22. privacy

your use of our website and services may involve the collection of personal information, such as your name, email address, phone number, project details, or business information.

we will use this information to communicate with you, respond to inquiries, provide services, manage projects, issue invoices, and improve our work.

23. communication

we may communicate through email, phone, video calls, messaging platforms, project management tools, or other agreed channels.

clients are expected to respond within a reasonable timeframe. delayed responses may affect timelines and delivery.

important approvals, scope changes, cancellations, or payment discussions should be confirmed in writing.

24. meetings and consultations

meetings may be included as part of the agreed project scope. additional meetings outside the agreed scope may be billed separately.

consultations, strategy sessions, workshops, or discovery calls may be free or paid depending on the arrangement.

we reserve the right to charge for missed meetings, late cancellations, or repeated rescheduling where significant time has been reserved.

25. community-impact and low-cost projects

for nonprofits, grassroots organizations, mission-led teams, or community-impact projects, we may offer reduced-cost services through our impact-focused work.

low-cost or discounted services are offered at our discretion and may depend on project scope, organizational need, community value, timeline, available capacity, and alignment with our mission.

discounted or low-cost work does not mean unlimited work, unlimited revisions, or reduced professional standards. every project will still require a clear scope, timeline, responsibilities, and payment agreement.

we reserve the right to decline, pause, or end any low-cost engagement if the scope becomes unrealistic, communication becomes difficult, or the project no longer aligns with the agreed purpose.

26. ethical use of our work

you agree not to use our work for harmful, misleading, illegal, discriminatory, exploitative, or unethical purposes.

we reserve the right to refuse or discontinue work connected to:

hate, harassment, or discrimination;
fraud or deceptive activity;
misinformation;
exploitation of vulnerable people;
illegal products or services;
harmful political manipulation;
unsafe health, financial, or legal claims;
projects that conflict with our values or professional standards.

27. credit and attribution

where appropriate, we may request credit for our work, such as a small website footer credit, case study mention, or public acknowledgement.

any required credit will be discussed as part of the project agreement. clients may not falsely claim authorship of work created by us before full payment or without proper agreement.

28. file storage and handoff

after a project is completed, we may provide agreed final files through email, cloud storage, design tools, or other agreed platforms.

we are not responsible for storing project files indefinitely. clients are responsible for downloading, saving, and backing up final deliverables.

we may delete archived files after a reasonable period, unless ongoing maintenance or storage has been agreed.

source files may only be provided if included in the project scope or agreed separately.

29. maintenance and support

unless ongoing support is included in the agreement, our responsibility ends once the agreed deliverables have been completed, approved, and handed over.

ongoing updates, maintenance, troubleshooting, platform support, additional design changes, or technical assistance may require a separate agreement or fee.

30. limitation of liability

to the fullest extent permitted by law, jadyn design lab will not be liable for indirect, incidental, special, consequential, or financial losses arising from the use of our website, services, or deliverables.

this includes, but is not limited to:

lost profits;
lost revenue;
lost data;
business interruption;
reputational harm;
missed opportunities;
third-party platform failures;
errors caused by client-provided information;
issues caused by changes made after handoff.

our total liability for any claim related to a project will not exceed the amount paid by the client for that specific project, unless otherwise required by law.

31. indemnification

you agree to protect and hold jadyn design lab harmless from any claims, damages, losses, liabilities, costs, or expenses that arise from:

materials you provide to us;
your use of the final deliverables;
your breach of these terms;
your violation of any law or third-party rights;
false, misleading, or inaccurate information you provide;
changes made to our work after delivery;
your business operations, products, or services.

32. force majeure

we are not responsible for delays or failure to perform caused by events beyond our reasonable control.

this may include natural disasters, power outages, internet failures, illness, emergencies, labour disruptions, government actions, war, civil unrest, pandemics, platform outages, or other unexpected events.

if such an event occurs, timelines may be adjusted reasonably.

33. changes to these terms
